Pixelworx Terms of Service

1. Acceptance of Terms
By accessing or using the services of Pixelworx.io ("Company", "we", "us"), you ("Client", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services. If you're entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
2. Description of Services
Pixelworx.io provides the following professional services:
- Custom software development
- Web design
- Graphic and UI/UX design
- Custom spreadsheets and presentations
- AI, technology, sales, and business consulting
3. User Accounts and Responsibilities
3.1 Account Creation
Clients must provide accurate and complete information when creating an account or engaging our services. You are responsible for maintaining the confidentiality of your account information.
3.2 Client Responsibilities
You agree to:
- Provide clear, timely communication about project requirements
- Respond promptly to requests for information or approvals
- Use our services only for lawful purposes
- Ensure you have the right to use any materials you provide to us
4. Payments and Billing
4.1 Billing Method
All services are billed on an hourly basis with the following terms:
- Monthly Projects: Time is invoiced at the end of each month
- Short-term Projects: Invoiced upon completion
- Payment Terms: Net 10 days from invoice date
4.2 Invoicing for Experts As A Service
For our Experts As A Service offering:
- Minimum contract period is six (6) months
- Early termination requires payment of all remaining contracted months
- No refunds for services already rendered
4.3 Payment Obligations
- All invoiced work must be paid in full
- Late payments may incur additional fees
- We reserve the right to suspend services for non-payment
5. Intellectual Property Rights
5.1 Code and Software
- We retain ownership of all code developed during the project
- Clients are granted a limited, non-exclusive license for project-specific usage
- Reuse of project code outside its original scope is prohibited
5.2 Design and Consulting Materials
- We retain ownership of all design, consulting, and supporting materials
- Clients receive a usage license specific to the contracted project
6. Prohibited Uses
You may not:
- Use our services for illegal or fraudulent activities
- Attempt to breach our systems or compromise our security
- Infringe on intellectual property rights
- Misrepresent our services or brand
- Share or redistribute our proprietary materials
7. Termination of Services
We reserve the right to terminate or suspend services:
- For violation of these Terms
- Due to non-payment
- If we believe your account poses a risk
- At our sole discretion, with or without notice
8. Disclaimers and Limitations of Liability
8.1 Service Disclaimer
- Services are provided "as is" without warranties
- We do not guarantee specific outcomes or results
- Our liability is limited to the amount paid for the specific service
8.2 Limitation of Damages
In no event shall Pixelworx.io be liable for:
- Indirect, consequential, or punitive damages
- Lost profits or business interruption
- Data loss or restoration costs
9. Indemnification
You agree to indemnify and hold Pixelworx.io harmless from:
- Claims arising from your use of our services
- Violations of these Terms
- Infringement of third-party rights
10. Governing Law and Dispute Resolution
10.1 Jurisdiction
These Terms are governed by the laws of the United States and in the state of Arkansas where Pixelworx is principally located. Legal proceedings related to this Agreement may only be brought in the courts of the State of Arkansas.
10.2 Dispute Resolution
Any disputes shall be resolved through binding arbitration in the jurisdiction of our principal place of business, except where prohibited by law.
11. Amendment of Terms
We reserve the right to modify these Terms at any time:
- Changes will be effective immediately upon posting
- Continued use of services constitutes acceptance of new terms
- We recommend periodic review of these Terms
12. International Clients
While we primarily serve US-based clients, international clients may be subject to:
- Additional contractual requirements
- Prepayment or alternative billing arrangements
- Specific jurisdictional considerations
